Rules of The Wellington Beekeepers' Association Incorporated
(Under the Incorporated Societies Act 1908)

1. NAME:  The name of the Association shall be the "Wellington Beekeepers Association Incorporated".
2. INTERPRETATION:  "Executive" means the Committee of Management of the said Association.
"Financial Year" means from the 1st June to the 31st May both days inclusive.
"Act" means the Incorporate Societies Act 1908.
"Association" means the Wellington Beekeepers Association Incorporated.
3. REGISTERED OFFICE:  There shall be a registered office of the Association, which shall be at the Secretary's Office, or such other place as the Association amy from time to time appoint.  The Secretary provided in Rule 11 shall give to the Registrar of Incorporated Societies, hereinafter called the Registrar, due notice of every change of situation of the Office.  This shall be at Johnsonville, until changed as provided above.
4. OBJECTS:  The objects of the Association shall be to exercise the following functions:
(a) Promote interest in Beekeeping
(b) To assist in the control of bee diseases
(c) To improve the technique of apiculture amongst members
(d) To further and protect the interest of the Association
5. MEMBERSHIP:  Any person shall be eligible for membership and shall become a member on making application to the Secretary in writing with a proposer and seconder and, on being elected by a majority of members present at a meeting of the Association.  This election as a member will be confirmed and accepted on receipt of the subscription due.
Life members of the Association may be appointed by the Association this being an Honorary Membership with voting power.
6. EXECUTIVE COMMITTEE:  There shall be a Committee of Management, hereinafter referred to as the "executive", which shall consist of a President, Vice President and Past President, who together with the Secretary and Treasurer shall be the officers of the Association, and three other members of the Association who shall be elceted and hold office in the manner provided for in Rule 8.   Subject to the control of the Association in Annual General or Special Meetings the Executive shall have the management and superintendence of the affairs of the Association and shall take every Lawful means to secure the due observance of the Rules of the Association, to further the objects of the Association, and to protect the funds and property for the rightful administration of which, in accordance with these Rules it shall be responsible.
7. SUBSCRIPTIONS:  The Annual Subscription of the Association shall be paid to the Secretary or Treasurer within one month of the commencement of the Financial Year.  The Annual Subscription shall be $3 and may be increased or decreased by notice of motion and dealt with at the Annual Meeting.
8. ELECTION AND REMOVAL OF OFFICERS AND CASUAL VACANCIES:  The officers and other members of the Executive other than the Secretary and Treasurer, together with the Auditor, shall be elected annually at the Annual Meeting, referred to in Rule 16, and shall, save as hereinafter provided, hold their office or positions until the next Annual Meeting, and shall be eligible for re-election.  Any office or position vacated from any cause whatever may be filled by the Association and any person so appointed shall, save as hereinafter provided, hold his office or position only for the unexpired period of his predecessor's original term, but shall be eligible for re-election.  Any officer of the Association, or other member of the Executive or Auditor, may be removed from his office or position by a vote of a special meeting called for that purpose.  Any Officer absenting himself from three consecutive meetings, without satisfactory reason, shall be deemed to have vacated his office and such vacancy shall be filled as already provided.  The Executive shall decide whether any reason given for absence shall be deemed to be satisfactory.
9. NOMINATIONS FOR OFFICE AT ANNUAL MEETING ELECTIONS:  All nominations for office in the Association shall be made at the Annual General Meeting.
10. POWERS AND DUTIES OF PRESIDENT AND VICE-PRESIDENT:  The President, when present shall preside at all Meetings, shall sign all minutes and shall generally conduct all meetings.  The President shall have a deliberative vote, and in cases of equality of voting, a casting vote also.  In the absence of the President, the Vice-President shall posess and exercise in all respects the powers and shall perform all the duties of the President.  In the absence from the meeting of the Vice-President and Past President also, a chairman shall be chosen by the members present and while so acting shall have and may exercise all the powers and shall perform all the duties of the President.
11. HONORARY SECRETARY:  There shall be a Secretary of the Association who shall be appointed by the Association and shall retain his office until a successor be appointed.  The Secretary shall attend all meetings of the Association and shall take minutes of all proceedings, shall conduct all correspondence, shall issue notices of meetings and shall keep a register of the names, occupations and addresses of the members of the Association, with the date of their joining the Association, and the withdrawal or death, as the case may be.  He shall in each year, prepare and forward to the registrar, the return as required by Section 23 of the Act.  He shall obey the orders and be under the control of the Association, and shall receive such Honorarium as the Association shall from time to time determine.
12. TREASURER:  The Treasurer, amy also hold the Office of Secretary, shall be elected annually, at the Annual Meeting, shall, subject to Rule 13, hold his office until he resigns or until his successor is elected, whichever shall first occur, but shall be eligible for re-election and shll receive such honorarium as the Association shall from time to time determine.  The treasurer shall receive and collect all subscriptions and other moneys and shall pay same into the bank.  He shall pay all accounts, shall keep a proper set of books of account, and shall prepare a correct statement of account and balance sheet for the Auditor.  The Treasurer and one othe member of the Executive shall be emposered to sign cheques for the Association.
13. REMOVAL OF SECRETARY OR TREASURER:   The Secretary or Treasurer may be suspended for a specified term or removed from office by a majority of the votes of members present at a meeting of the Association specially called to consider such removal.  In the event of a casual vacancy in the office of Secretary or Treasurer, some other person may be appointed in either office by a majority of the Association present at a meeting called to consider such appointment provided that in the case of the Treasurer such person shall hold his office only for the unexpired period of his pre-decessor's term and shall be eligible for re-election.
14. AUDITOR:  The books of the Association shall be audited annually and at such other times or as the Association or the Executive may direct, by a qualified accountant and reported upon by the Auditor provided for in the rules.  He shall sign the Annual Statement and Balance Sheet if correct, or report his reason for refusing.
15. TRUSTEES:  There shall be a committee of Trustees of the Association which shall comprise (a) President, (b) Vice-President, (d) Past President and Secretary by whom all investments of the Association shall be made by direction of the Association.
16. MEETINGS:  An Annual Meeting shall be held within three months of the close of the financial year.
(b) Ordinary meetings shall be held on the second Monday of each month and at such other times as the President or Executive of the Association shall determine.
(c)  Special meetings of the Association shall be held whenever the President, Secretary of the Association thinks fit, or shall be called by the Secretary upon receipt by him of a notice in writing to that effect signed by three members of the Association.   Such notice shall specify the nature of the business to be transacted.
(d) Meetings of the Executive may be convened at any time by the President, Vice-President or the Secretary.
(e) All ordinary, Annual or Special meetings shall be convened by the Secretary by notice given to members by circular at least seven clear days before the meetings.  Such circular shall specify time and place of meeting and the business to be transacted thereat, and, in the case of the Special meeting, no business shall be transacted other than that specified in the circular.
(f) At any General, Annual or Special meeting of the Association the quorum shall be seven.  At all meetings of the Executive four shall a quorum.
(g) Subject to the requirements of the Act, voting shall be by show of hands provided that should any one member request that any question be decided by secret ballot of members present such a ballot shall thereupon be taken under the direction of the President.
17. RETIRING FROM MEMBERSHIP:  Any member desiring to sever his membership or connection with the Association may do so only by giving previous notice in writing to the Secretary of his intention to do so, and paying all dues and fees owing by him up to the expiry of such notice, and such member shall thereupon cease to be a member of the Association.
(b) Should any member fail to comply with any rule or rules of the Association or fail to pay all subscriptions or levies by him within six months after that date on which the same became payable, his membership may be terminated by resolution of a special meeting of the Association (at least seven days' notice of such meeting and the charge to be preferred against him having been given previoulsy to such member in writing) provided such resolution is supported and confirmed by resolution at a second Special Meeting.  His membership shall thereupon terminate and he shall cease to have any right, title or interest in the funds, properties or affairs of the Association in respect of his membership.
18. CUSTODY OF SEAL:  The Executive shall supply a seal for the Association which shall be kept in the custody of the Secretary.  It shall not be affixed to any instrument except pursuant to a resolution of the Association.  The affixture of the seal to all instruments shall be attested under the hands of any two (2) members of the Executive.  The seal may from time to time be altered or renewed as the Executive thinks fit.
19. INSPECTION OF BOOKS:  Any member having an interest in the funds of the Association may inspect the books and names of the members at the Office of the Secretary at all reasonable times.
20. PURGING THE ROLL:  The Secretary shall purge the roll of members from time to time by striking off the names of any member who is in arrears of dues for twelve months, but such purging shall not free such discharged person from arrears.
21. AGREEMENTS AND INSTRUMENTS:   Agreements shall be made in such mode and shall contain such terms as a Special Meeting of the Association may in each instance determine.  All instruments shall be executed on behalf of the Association under the seal of the Association and the hands of two members of the Executive.
22. ALTERATION TO THE RULES:  The rules of the Association may be amended or added to by notice of motion at an ordinary meeting of the Asociation, such addition or amendment to be confirmed at a Special Meeting to be held within five weeks after the meeting fisrt held to consider such alteration.   Such amendment shall be in each case submitted to the Registrar for his approval and shall come into force when and not until registered by him.
23. DISSOLUTION:  If at any time the members of the Association decide to wind up the affairs of the Association the assets can be disposed of acording to the wishes of the majority decision voting at the general meeting.

8 Sep 1986 Rule 16A: Meetings - Previously read "An Annual Meeting shall be held on the second Monday in the month of June of each year."

Rule 16E: Meetings - previously the Secretary was required to give only four days clear notice by circular.

 

24 Sep 1997 Rule 3: Registered Office - Secretary is now Mr F Lindsay, 26 Cunliffe Street, Johnsonville.  This amends the orignal Plimmerton to Johnsonville.

Rule 7:  Annual Subscription - The Annaul Subscription was increased from $1.00 to $3.00.
